北京盈科（杭州）律师事务所接受无锡TDDX新能源科技有限公司委托，协助其向政府主管部门申报老挝项目境外投资备案。

Beijing Yingke Law Firm (Hangzhou Office) has been entrusted by Wuxi TDDX New Energy Technology Co., Ltd. to assist in filing the Outbound Direct Investment (ODI) procedures for Laos project with the competent government authorities.

接受客户委托后，盈科杭州中东法商财税团队基于该项目的行业特性、投资结构、资金安排等实际情况，为客户制定了详尽的方案，并提供了以下全流程法律服务：

Upon acceptance of the client’s mandate, the Middle East Legal-Tax-Finance Team of Yingke Hangzhou, based on the industrial characteristics, the investment structure, and the capital arrangement of the project, formulated a comprehensive legal strategy and provided full-spectrum legal services, including:

1.确认本项目备案所需材料清单，主要包括投资主体基本信息、境外投资方案、境外企业基本信息、资金来源说明、尽职调查及合规承诺文件等；

2.代为起草国家发改委及商务部要求提交的备案材料；

3.通过“国家发改委全国境外投资备案管理系统”及“商务部业务系统统一平台”指定平台提交备案材料；

4.根据主管机关审核反馈意见，及时对备案材料进行修改；

5.协助客户完成外汇管理局外汇登记手续。

1.Identifying and confirming the list of documents required for the ODI filing, primarily including: basic information of the investor, the outbound investment proposal, basic information of the overseas entity, explanation of the funding source, due diligence reports, and compliance undertakings.

2.Drafting the filing documents required to be submitted to the National Development and Reform Commission (NDRC) and the Ministry of Commerce (MOFCOM).

3.Submitting the application materials through the designated platforms, namely the “NDRC National Outbound Investment Filing Management System” and the “Unified Platform for MOFCOM Business Systems”.

4.Amending and supplementing the filing materials in a timely manner in response to comments and feedback from the competent authorities.

5.Assisting the client with the registration formalities with the State Administration of Foreign Exchange (SAFE).

2025年6月4日，客户成功取得无锡市发展和改革委员会出具的《境外投资项目备案通知书》及江苏省商务厅核发的《企业境外投资证书》。

On June 4, 2025, the client successfully obtained the Outbound Investment Project Filing Notice issued by the Wuxi Municipal Development and Reform Commission and the Enterprises Outbound Direct Investment Certificate issued by the Department of Commerce of Jiangsu Province.
