1. 财政部规范政府采购公告和公示信息发布行为

MOF Regulates Promulgation of Government Procurement Announcements and Disclosures

背景摘要:近日,财政部制发《政府采购公告和公示信息格式规范(2020年版)》(下称《格式规范》),相关单位自2020年7月1日起按照本《格式规范》编制发布政府采购信息。

Background Information:The Ministry of Finance ("MOF") has recently enacted and issued the Government Procurement Announcements and Disclosures Format Specification (2020 Edition) (the "Specification"), requiring the entities concerned to prepare and publish government procurement information in line with the Specification as of July 1, 2020.

《格式规范》涵盖政府采购意向公告、资格预审公告、招标公告、竞争性谈判(竞争性磋商、询价)公告、中标(成交)结果公告等十三项格式要求。以“资格预审公告”为例,除包含项目概况外,须填写项目基本情况、申请人的资格要求、领取资格预审文件、资格预审申请文件的组成及格式、资格预审的审查标准及方法等十一项信息。其中,关于申请人的资格要求,其具体包括“满足《中华人民共和国政府采购法》第二十二条规定”、“落实政府采购政策需满足的资格要求”以及“本项目的特定资格要求”等三方面内容。

The Specification sets out format requirements for 13 documents, including the announcement for intended government procurement, the announcement for preliminary qualification examination, the bidding announcement, the announcement for competitive negotiation (competitive consultation or quotation), and the bidding (deal) result announcement. The announcement for preliminary qualification examination, for example, involves the project overview and information in 11 aspects, such as basic information on the project, requirements for applicant qualification, obtaining the preliminary qualification examination documents, application documents for preliminary qualification examination and their formats, and preliminary qualification examination standards and methods. Among others, the requirements for applicant qualification include "conforming to the provisions of Article 22 of the Government Procurement Law of the People's Republic of China", "fulfilling the qualification requirements mandated by government procurement policies" and "special qualification requirements for this project".

2. 商务部完善境外投资备案(核准)无纸化管理

Background Information:The General Office of the Ministry of Commerce ("MOFCOM") has recently issued the Circular on Improving the Administration of Paperless Record-filing (Approval) of Overseas Investment (the "Circular").

根据《通知》,自《通知》发布之日起,企业在办理境外投资备案(核准)手续时,原则上不再报送纸质材料。企业应将纸质申请材料以PDF格式文件方式,通过商务部业务系统统一平台对外投资合作信息服务应用上传提交到商务部或省级商务主管部门。对于企业认为不宜线上提交的材料,可线下报送纸质材料办理申请。《通知》同时设置2个月的过渡期,在此期间企业办理备案(核准)申请时,可选择线上无纸化报送或线下纸质材料报送。

According to the Circular, as of the date when the Circular is released, enterprises will not be required, in principle, to submit paper-form documents while going through the formalities for record-filing (approval) of overseas investment. Instead, enterprises shall submit to the MOFCOM or the provincial commerce authority the PDF files of the paper-form application documents by uploading them onto the outbound investment cooperation information service application under the MOFCOM's unified business system platform. Enterprises may opt to submit paper-form application documents on the spot if they deem it inappropriate to submit them online. The Circular also announces a two-month transition period, during which enterprises may submit documents either online in a paperless manner or on the spot when they deal with the record-filing (approval).

3. 两部门发文加强对边境(跨境)经济合作区金融支持

Financial Support for Border (Cross-border) Economic Cooperation Zones Enhanced

新闻综述:近日,商务部办公厅、中国进出口银行办公室发布《关于应对新冠肺炎疫情 支持边境(跨境)经济合作区建设 促进边境贸易创新发展有关工作的通知》(下称《通知》)。

News Brief:The General Office of the Ministry of Commerce ("MOFCOM") and the General Office of the Export-Import Bank of China ("EIBC") have recently issued the Circular on Supporting the Building of Border (Cross-border) Economic Cooperation Zones and Promoting Innovative Development of Border Trade in Response to the Novel Coronavirus Pneumonia (COVID-19) Epidemic (the "Circular").

《通知》提出,商务主管部门和进出口银行统筹疫情应对和稳住外贸外资基本盘,发挥政策引导和金融职能作用,为边境(跨境)经济合作区及区内企业提供优质服务,促进解决复工复产面临的资金周转和扩大融资等迫切问题,保障边境贸易产业链、供应链畅通运转,将疫情带来的影响降到最低。同时,《通知》明确,加大对重点领域的信贷支持力度,推动边境(跨境)经济合作区“小组团”滚动开发,支持边境地区承接产业转移,完善边境贸易产业链,推动市场多元化,支持“引进来”和“走出去”,培育开放发展新动能。《通知》还要求,建立合作和政策保障机制,将工作落实落细等。

The Circular reads that, with a view to responding to the epidemic in a coordinated manner and maintaining the basic trend of foreign trade and foreign investment, commerce authorities and the EIBC shall play their role in policy guidance and financial functions, by rendering high-quality services to border (cross-border) economic cooperation zones and the enterprises therein, to help resolve urgent issues related to resumption of work and production, such as cash flow difficulty and increase in financing, ensure that the industry chain and supply chain in border trade will work smoothly, and thus minimize the impact caused by the COVID-19 outbreak. In addition, the Circular calls for enhancing credit support in key fields, adding that new growth drivers will be created through promoting "small-cluster-based" progressive development in border (cross-border) economic cooperation zones, supporting border areas in taking over the relocated industries, improving the industry chain for border trade, proceeding with market diversification, and backing the introduction of investment and business expansion abroad. The Circular also requires that the cooperation and policy guarantee mechanisms should be instituted to ensure full delivery of policies.

国家发展改革委关于应对疫情进一步深化改革做好外资项目有关工作的通知

Notice of the National Development and Reform Commission on Further Deepening the Reform regarding Foreign Investment Projects to Respond to Epidemic Situations

各省、自治区、直辖市及计划单列市、新疆生产建设兵团发展改革委:

Development and reform commissions of all provinces, autonomous regions, centrally-administered municipalities, cities with independent planning status and Xinjiang Production and Construction Corps,

为贯彻落实党中央、国务院关于统筹推进新冠肺炎疫情防控和经济社会发展的决策部署,深入实施《外商投资法》及配套法规,加大改革力度,做好当前和今后一段时期稳外资工作,促进外资基本盘稳定,现就有关事项通知如下。

For the purposes of implementing the decisions and arrangements of the Central Committee of the Communist Party of China and the State Council on coordinated promotion of prevention and control of novel coronavirus-infected pneumonia and economic and social development, further implementing the Foreign Investment Law and supporting regulations, intensifying reform, stabilising foreign investments at present and in the future, and promoting basic stability of foreign investments, notice is hereby given on the relevant matters as follows:

一、积极帮扶外资项目和外资企业复工复产。各级发展改革委要统筹好疫情防控和复工复产,把外资项目和外资企业复工复产作为当前重要工作。对于已投产项目,要帮助协调返岗、物流、物资等问题,尽快恢复产能。对于在建项目,要做好工程建设保障、审批事项衔接,力争整体项目进度不受影响。对于前期项目,要创新工作方法,支持项目方远程办理各项手续,尽快进入实施阶段。要主动联系外资企业,协调解决复工复产障碍,各项援企政策统一适用于外资企业。对于重点外资企业要采取“一对一”精准帮扶,对于外资企业反映的产业链协同复工问题要积极响应,涉及跨省协调事项及时报告我委。

I. Active assistance shall be given to foreign investment projects and foreign investment enterprises in resuming production. Development and reform commissions at all levels shall coordinate the work of epidemic prevention and control as well as resumption of work and production, and regard the resumption of work and production of foreign-funded projects and foreign-funded enterprises as an important task at present. For the projects that have been put into production, development and reform commissions at all levels shall help coordinate problems such as return to work, logistics and materials, so as to promote such projects to restore capacity as soon as possible. With regard to projects under construction, efforts shall be made to effectively ensure the smooth transition of project construction and examination and approval items to strive for no impact on the overall project progress. For the preliminary projects, the working methods shall be innovated to support the project owners to remotely go through all procedures and enter into the implementation phase as soon as possible. Development and reform commissions at all levels shall take the initiative in contacting the foreign-funded enterprises so as to coordinate and solve the obstacles in such enterprises' resumption of work and production, and all the policies on offering aids to enterprises shall apply to foreign-funded enterprises uniformly. Targeted "one-to-one" support shall be given to key foreign-funded enterprises, and positive response made to issues pertaining to collaborative resumption of work in industry chains reflected by foreign-funded enterprises, and any matter involving cross-provincial coordination shall be promptly reported to the National Development and Reform Commission.

二、加强重大外资项目跟踪储备。各级发展改革委要根据职能,积极做好投资促进工作,加强与开发区、招商部门对接,完善重大外资项目跟踪储备机制。其中,对于制造业、高技术服务业总投资10亿美元以上在谈、签约、在建外资项目,如涉及国家部委协调事项的,省级发展改革委要及时向国家发展改革委申报,符合条件的将按程序纳入重大外资项目工作专班协调。技术先进、医疗防疫、关键领域或中西部地区、东北地区的项目,可适度放宽规模。

II. Strengthen the follow-up reserve for major foreign investment projects. Development and reform commissions at various levels shall actively promote investment, strengthen connection with development zones and investment promotion authorities and improve follow-up reserve mechanism for major foreign-invested projects ex officio. For a foreign investment project in the manufacturing industry or high-tech service industry at the phase of negotiation, contract signing or construction, of which the total investment is more than 1 billion US dollars, if any matter involves coordination with a national ministry or commission, the development and reform commission at provincial level shall make an declaration with the National Development and Reform Commission in a timely manner, and any qualified project will be included in the scope of major foreign investment projects for coordination by a special team. For the projects with advanced technology, involving medical treatment and epidemic prevention, key fields or in the central and western regions and the northeast region, the restriction on the scale thereof may be properly relaxed.

三、做好重大外资项目协调推进。纳入重大外资项目工作专班协调的项目,工作专班及有关部门将给予政策支持,会同项目所在地政府统筹推进。各级发展改革委要积极协调推进地方层面的重大外资项目,确保要素跟着项目走。利用外资重点省市发展改革委要推动建立健全地方层面的重大外资项目专班机制,制定项目清单和工作方案,加强各级联动、部门协同,建立绿色通道,推动项目尽快落地。通过重大外资项目工作以点带面,全方位提升外资项目服务水平。

III. Properly coordinate to promote major foreign investment projects. For any project included in the scope of major foreign investment projects for coordination by a special team, the special work team and the relevant authorities will provide policy support and coordinate with the governments at the location of the projects. The development and reform commissions at all levels shall actively coordinate and promote the major foreign-invested projects at local level and ensure that the elements follow the projects. The development and reform commissions of key foreign investment provinces and municipalities directly under the Central Government shall promote the establishment and improvement of the special team mechanism for major foreign investment projects at the local level, formulate project lists and work plans, strengthen the linkage at all levels and departmental coordination, establish green channels, and drive the implementation of projects as soon as possible. It is imperative to comprehensively improve the service level for foreign investment projects by using the major foreign investment project work to lead the overall work.

四、全面落实外资准入负面清单管理制度。对于外资准入负面清单(以下简称负面清单)之外的外资项目,不得设置单独针对外资的准入限制,除《政府核准的投资项目目录》规定内外资项目均需核准的,其他外资项目由地方发展改革委实行属地化备案管理。对于负面清单之内涉及固定资产投资的外资新建项目或并购项目,根据股比、高管要求等规定,办理核准手续。其中,总投资3亿美元及以上项目由国家发展改革委核准,3亿美元以下项目由省级发展改革委核准。落户自贸试验区的外资项目,按照自贸试验区负面清单执行。

IV. Fully implement the negative list system for foreign investment access. Foreign investment projects not included in the negative list for foreign investment access (hereinafter referred to as the "negative list") shall not be subject to restrictions for access of foreign investments seperately; except for domestic and foreign investment projects which are subject to approval pursuant to the Catalogue of Investment Projects Subject to Government Approval, other foreign investment projects shall be filed with the local development and reform commissions. New foreign investment projects or merger and acquisition projects included in the negative list which involve fixed asset investment shall be subject to approval formalities pursuant to the provisions on requirements on shareholding percentage and senior executives. To be specific, projects with total investment of USD 300 million or above shall be subject to the approval by the National Development and Reform Commission, and projects with total investment of less than USD 300 million shall be subject to the approval of the provincial-level development and reform commissions. Foreign investment projects established in a Pilot FTZ shall comply with the Negative List for Pilot FTZs.

五、提高外资项目备案便利化程度。所有备案的外资项目一律实行告知性备案管理。备案机关通过全国投资项目在线审批监管平台(以下简称在线平台),在项目实施前收到项目单位提供的项目基本信息即完成备案。项目基本信息包括项目单位、项目名称、项目地点、项目内容、投资规模、投资方及国别、出资额及出资比例、符合负面清单及产业政策声明。备案证明可通过在线平台由项目单位自行打印。

V. Facilitate the filing of foreign investment projects. All foreign investment projects subject to filing shall be under informative filing management. Record-filing authorities shall complete record-filing upon receipt of the basic information on projects provided by project owners before the implementation thereof through the National Online Investment Project Approval and Regulation Platform (hereinafter referred to as the "Online Platform"). The basic information of a project includes the project owner, project name, project location, project contents, investment scale, investors and their countries, amount and proportion of contribution, statement of compliance with the negative list and industrial policies. The Filing Certificate may be printed by the project owner through the Online Platform.

六、简化外资项目核准手续。项目单位提交项目申请报告,除规定内容外,无需附企业财务报表、资金信用证明、环境影响评价审批文件、节能审查意见、国有资产出资确认文件。除法律、行政法规另有规定外,外资项目核准手续可与其他许可手续并行办理。全面推进远程办理,有条件的地方要加快完善在线平台收件、出件功能,实现无纸化办理,暂不具备条件的地方可通过邮寄方式收件、出件,实现不见面办理。疫情期间申报材料有关附件存在办理困难的项目,核准机关可实行容缺受理、先办后补。

VI. Simplify approval formalities for foreign investment projects. Except for the prescribed contents, a project owner is not required to attach its enterprise financial statements, capital credit certificate, examination and approval documents on environmental impact assessment, examination opinions on energy conservation, and documents on confirmation of capital contributions of state-owned assets when submitting a project application report. Unless otherwise stipulated by laws and administrative regulations, examination and approval formalities for foreign-funded projects may be completed concurrently with other licensing formalities. The remote handling shall be fully promoted. Regions where conditions permit shall accelerate the improvement of the functions of the online platform for receiving and sending documents, and achieve paperless processing. Regions where conditions do not permit yet at present may receive and send documents by mail, so as to realize non-face-to-face processing. Where there is any difficulty in submitting the relevant attachments to the application materials during the epidemic period, the examination and approval organ may accept the materials with missing contents and process them first, with supplement later.

七、优化鼓励类外资项目进口设备免税确认流程。对于属于《鼓励外商投资产业目录》范围的鼓励类外资项目,在投资总额内进口自用设备继续实行免征关税政策。限额以上的鼓励类外资项目,取消省级以下转报环节,项目单位直接向省级发展改革委提出免税申请,由省级发展改革委初审后报我委。疫情期间,对于因供应链问题暂不能确定进口设备清单的项目可容缺受理,相关材料可通过纵向网报送我委,先行启动办理程序。

VII. Optimize the tax exemption confirmation process for imported equipment of encouraged foreign investment projects. With respect to the foreign investment projects of the encouraged category in the Catalogue of Encouraged Foreign Investment Industries, the tariff exemption policy shall continue to be implemented for the self-use imported equipment within the total investment. For the encouraged foreign investment projects beyond the limit, the link of transfer by the development and reform commission below the provincial level shall be cancelled. A project owner may directly file an application for tax exemption with the development and reform commission at the provincial level, which shall, upon preliminary examination, report it to the National Development and Reform Commission. During the epidemic period, projects for which the list of imported equipment cannot be determined for the time being due to supply chain problems can be accepted without sufficient materials, and the relevant materials can be submitted to this Commission via the vertical network for the processing procedures to be initiated first.

八、保护外资项目合法权益。外资项目备案、核准机关应当遵循便民、高效原则,公开外资项目备案和核准的办理流程、办理条件、办理时限,不得擅自增加审核要求,不得超出办理时限,不得非法干预外商投资自主权。外资项目备案、核准机关及其工作人员不得利用行政手段强制或变相强制转让技术。对于履职过程中知悉的商业秘密,应当依法予以保密。各项支持企业和项目的政策,应当平等适用于内外资企业、内外资项目。

VIII. Protect the legitimate rights and interests of foreign investment projects. The filing and approval authorities for foreign investment projects shall comply with the principles of convenience and efficiency, and the workflow, criteria and timeframe for processing filing and approval of foreign investment projects shall be made public. No examination and approval requirements shall be arbitrarily added, and it is not allowed to exceed the processing timeframe or illegally interfere with foreign investment autonomy. The filing and approval authorities of foreign-funded projects and their staff shall not make use of administrative means to force or covertly force technology transfer. Trade secrets which come into their knowledge in the course of performance of duties shall be kept confidential pursuant to the law. All policies supporting enterprises and projects shall apply to domestic and foreign -invested enterprises and projects on an equal footing.

九、加强对外资企业的走访服务。各级发展改革委要加强与外资企业和外资企业商会沟通交流,宣传解读政策法规,听取外资企业和商会对改善本地区投资环境的建议,主动回应企业关切。要经常性走访外资企业和外资项目,深入了解生产经营和招商引资情况,加强形势分析,协调解决问题,推动完善本地区投资促进和便利化等稳外资政策措施。制定与外资有关的政策,应当以座谈会、书面等形式征求外资企业意见,充分考虑跨国投资实际情况,切实体现内外资一视同仁、平等对待。

IX. Visit service for foreign-funded enterprises shall be strengthened. The development and reform commissions at all levels shall strengthen communication and exchange with foreign-invested enterprises and chambers of commerce of foreign-invested enterprises, publicize and interpret policies and regulations, listen to the suggestions of foreign-invested enterprises and chambers of commerce on improving the investment environment of the locality, and actively respond to the concerns of enterprises. They shall also visit foreign investment enterprises and projects on a regular basis, get an in-depth understanding of manufacturing and business operation and attraction of investment, strengthen analysis of the situation, coordinate resolution of issues, promote and improve upon local policies and measures for stabilising foreign investment such as promoting and facilitating investment. In the formulation of policies relating to foreign investment, opinions of foreign-funded enterprises shall be solicited in the form of seminars or written documents, etc, the actual conditions of multinational investments shall be taken into full consideration, and equal treatment of domestic investors and foreign investors shall be realistically reflected.

十、完善外资项目事中事后监管。外资项目备案、核准机关要加强与同级政府有关部门的协同配合,按照谁审批谁监管、谁主管谁监管的原则,采取“双随机一公开”等方式完善项目监管,监督检查应当尽可能纳入跨部门联合抽查范围,以避免重复检查增加企业负担。省级发展改革委要通过在线方式抽查备案外资项目,加强对负面清单执行情况的监督检查,发现违反负面清单规定的情形及时上报,并依法予以处理。

X. Improve interim and ex post regulation of foreign investment projects. The filing and approval authorities for foreign investment projects shall strengthen coordination and cooperation with the relevant departments of counterpart level government, adopt the method of "randomly selecting inspection officers and inspection objects and prompt announcement of inspection result" etc to improve project regulation in accordance with the principles of "the approval authorities shall be responsible for regulation and the competent authorities shall be responsible for regulation", supervision and inspection shall be included as far as possible in the scope of inter-departmental joint inspection, so as to avoid repetitive inspection increasing the burden of enterprises. Provincial development and reform commissions shall conduct online random inspection of filing of foreign investment projects, strengthen supervision and inspection of implementation of the negative list, promptly report violations of the provisions of the negative list, and deal with the violation pursuant to the law.

十一、进一步扩大鼓励外商投资范围。近期我委将会同商务部等部门修订《鼓励外商投资产业目录》。本次修订拟进一步扩大鼓励范围,促增量和稳存量并举,聚焦促进制造业高质量发展、发挥中西部地区和东北地区承接产业转移潜力。请省级发展改革委结合本地区实际,根据招商引资情况、外资项目和外资企业诉求、产业发展方向等,会同商务等有关部门抓紧研究提出需增加的《鼓励外商投资产业目录》条目建议,于3月17日前报我委。

XI. Further expand the scope of encouraged foreign investment. In the near future, the National Development and Reform Commission will, in concert with the Ministry of Commerce and other authorities concerned, revise the Catalogue of Encouraged Industries for Foreign Investment. This revision intends to further expand the scope of encouraged industries for foreign investment, promote both increment and inventory stability, with focus on promotion of high-quality development of the manufacturing industry, and give play to the potential of the central and western regions and the northeast region in undertaking industrial transfer. The provincial development and reform commissions shall, in light of the actual conditions of the locality, take into account the status of attraction of investments, claims of foreign-funded projects and foreign-funded enterprises, industry development direction, etc, study and propose recommendations for additional items of the Catalogue of Encouraged Industries for Foreign Investment jointly with the commerce authorities, etc, and report the same to the National Development and Reform Commission by 17 March.

各级发展改革委要充分认识当前和今后一段时期稳外资的重要性,在抓好疫情防控的同时,勇于担当、善于作为,通过改革完善外资项目有关工作,努力做好稳外资工作。落实本通知的经验、问题和建议,请及时向我委报告。

The development and reform commissions at all levels shall be fully aware of the importance of stabilizing foreign investment at present and in the coming period, be ready to undertake responsibilities and take actions when performing their duties of preventing and controlling the epidemic, and make great efforts to stabilize foreign investment by reforming and improving the work relating to foreign investment projects. Any experience, problems and suggestions arising from the implementation of this Notice shall be reported to the National Development and Reform Commission in a timely manner.
